Terms of Service

Agreement

These Terms of Service (“Terms”) are an agreement between you and Labs Kai LLC (“Labs Kai”, “we”, “us”), a Florida company. They apply when you use labskai.com, AIFormFlow (aiformflow.com, the forms we host and the embeddable form), ShopMade (shopmade.pro and the ShopMade app), our text messages, and the services we provide (together, the “Services”).

By using the Services you agree to these Terms. If you use them for a business, you agree for that business and confirm you can bind it. Our Privacy Policy explains how we handle personal information and is part of these Terms.

Our services

Labs Kai builds websites, lead capture, automations and AI agents, and runs marketing for small businesses. The scope, schedule and fees for that work are set out in a proposal, quote or order we agree with you in writing. If that document conflicts with these Terms, the document wins for that work.

AIFormFlow and ShopMade

Accounts

You are responsible for your account, for keeping your sign-in details private, and for everything done in your account. Tell us right away at [email protected] if you think someone else has accessed it.

Fees and billing

Subscriptions are billed monthly in advance at the price shown on the product’s site or in your order. AIFormFlow is listed at $149 per month. Prices do not include taxes, which we add where required. We will give you at least 30 days’ notice before a price change takes effect on your subscription.

Cancelling

You can cancel any month. Cancellation takes effect at the end of the billing period you have paid for, and you keep access until then. Fees already paid are not refunded, except where the law requires it.

Changes to the products

We improve the products all the time. We may add, change or remove features. If we remove something central to what you pay for, we will tell you in advance, and you can cancel.

Your content and your customers’ data

You own the content you put into the Services, including your forms, your questions and the leads and customer records you collect (“Your Content”). You give us permission to host, copy, process and display Your Content only as needed to provide and improve the Services for you.

For leads and customer records, we act on your behalf as your service provider. You are responsible for having the right to collect and use that information, for your own privacy policy, and for getting any consent the law requires before you call, email or text the people in it.

Rules for using the Services

Do not use the Services to:

• send messages, calls or emails that break the law, including the Telephone Consumer Protection Act, CAN-SPAM and carrier rules, or message anyone without the consent the law requires;
• collect information you are not allowed to collect, or ask for payment card numbers or government ID numbers in a form;
• discriminate, including in housing, lending or employment, or break fair housing laws;
• harass, threaten or deceive anyone, or pretend to be someone else;
• upload malware, probe or break our security, or overload our systems;
• copy, resell or reverse engineer the Services, or scrape them, except as the law allows.

We may suspend accounts or remove content that breaks these rules.

Text messages

Program. Labs Kai LLC text messages.

Who gets texts. Labs Kai LLC texts people who request a call, demo or quote through our forms and check the SMS consent box, and AIFormFlow customers who turn on text alerts.

How to sign up. On our forms, check the box that reads: “I agree to receive text messages from Labs Kai LLC about my request, including appointment confirmations, reminders and follow-ups. Message frequency varies. Message and data rates may apply. Reply HELP for help, STOP to opt out. Consent is not a condition of purchase.” The box is optional and never checked for you. AIFormFlow customers turn on text alerts for their own phone number in their account.

What we send. Messages about your request: appointment confirmations, reminders and follow-ups. For AIFormFlow customers with text alerts on: new-lead alerts and account notices. We do not send marketing texts to people who have not agreed to them.

Message frequency varies. Message and data rates may apply. Your mobile carrier’s rates apply.

To opt out, reply STOP to any message. We also accept END, CANCEL, UNSUBSCRIBE, QUIT and STOPALL. You will get one message confirming you are unsubscribed, and no more texts unless you sign up again.

Consent is not a condition of purchase. You do not need to agree to texts to buy anything from us.

Carriers are not liable for delayed or undelivered messages.

Privacy. We never sell or share your mobile number or your text-message consent with third parties or affiliates for their marketing. See the Text messages section of our Privacy Policy.

AI features

Parts of the Services use artificial intelligence, including AI forms, chat and voice agents. AI output can be wrong or incomplete. Check important details before you rely on them, and do not use the Services for emergencies: anyone with an emergency should call 911. When an AI agent talks with your customers, you are responsible for what you tell it to say, such as prices, policies and promises.

Third-party services

The Services work with services run by other companies, such as messaging, calendar, payment, AI and hosting providers. Their terms apply to your use of them, and we are not responsible for them.

Our intellectual property

The Services, including our software, designs, templates and brand names (Labs Kai, AIFormFlow and ShopMade), belong to Labs Kai LLC. These Terms give you the right to use the Services as described here, and nothing more. Work we create for you under a proposal is owned as that proposal says.

If you send us feedback or ideas, we may use them without owing you anything.

Disclaimers

We work hard to keep the Services running and accurate, but they are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any specific number of leads, sales or search rankings.

Limitation of liability

To the extent the law allows, Labs Kai will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim about the Services is limited to the amount you paid us for the Services in the 12 months before the claim, or $100 if you have not paid us.

Indemnity

If you use the Services for a business, you will defend and hold Labs Kai harmless from claims by others that arise from Your Content, from messages you send or ask us to send, or from your breaking these Terms or the law.

Suspension and termination

You can stop using the Services at any time. We may suspend or end your access if you break these Terms, if you do not pay, or if we must to comply with the law or protect others. If we end a paid subscription for a reason other than your breach, we will refund any prepaid fees for the unused period. Sections that by their nature should survive, such as ownership, disclaimers, limits of liability and indemnity, survive.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Lee County, Florida, and you and we agree to their jurisdiction.

Changes to these Terms

We may update these Terms. We will change the “Last updated” date at the top, and if a change is significant we will tell customers by email or in the product before it takes effect. If you keep using the Services after a change takes effect, the new Terms apply.
